These terms and conditions outline the rules and regulations for the use of Kerra Collective Co.'s Website, located at https://thelioralab.com.

By accessing this website, we assume you accept these terms and conditions. Do not continue to use The Liora Lab if you do not agree to take all of the terms and conditions stated on this page

1) Acceptance of These Terms

By accessing or using our website, submitting a project inquiry, signing a proposal, paying an invoice, or using any The Liora Lab services, you agree to these Terms and our Privacy Policy. If you don’t agree, do not use our site or services.

2) Who We Are / What We Do

The Liora Lab provides web and brand services (e.g., strategy, UX/UI design, copywriting, web development, integrations, site maintenance, and training) and related digital products.

3) Key Definitions

  • “Services”: any paid or free offering by The Liora Lab.

  • “SOW/Proposal”: a written scope (including estimates, deliverables, milestones) accepted by you via e-signature, email confirmation, or first payment.

  • “Deliverables”: the specific outputs listed in the SOW (e.g., website files, brand assets).

  • “Client Materials”: content you provide to us (e.g., logos, copy, photos, data).

4) Eligibility & Account

You must be 18+ and legally able to contract. If you create an account or portal access, keep credentials confidential; you’re responsible for activities under your login.

5) Quotes, Proposals, & Scope Changes

  • Quotes are valid for 15 days unless stated otherwise.

  • Work starts after (i) SOW acceptance and (ii) any required deposit.

  • Change requests (new features, pages, integrations, rework outside the SOW) require a written change order and may adjust timeline and fees.

6) Client Responsibilities

You agree to: (a) provide timely content, approvals, and access; (b) ensure you have rights to all Client Materials; (c) designate a single point of contact; (d) review and approve deliverables within stated review windows (default: 5 business days).

7) Third-Party Services & Dependencies

We may configure or rely on hosting providers, CMS platforms, plugins, fonts, analytics, email/SMS tools, payment gateways, or other third-party services. Your use of them is governed by their terms and fees. We’re not liable for third-party outages, changes, or security incidents.

8) Fees, Invoices, & Late Payments

  • Invoices are due on receipt unless stated otherwise. Late amounts may incur 1.5% per month (or the legal max in your jurisdiction), plus collection costs.

  • Deposits/retainers are non-refundable once work begins.

  • We may pause work or withhold files if invoices are overdue.

9) Cancellations & Refunds

You may cancel with written notice. You’ll owe for (i) work performed to date, (ii) non-recoverable third-party costs, and (iii) any minimum fees noted in the SOW. Because our work is custom, completed phases are non-refundable.

10) Delivery, Acceptance, & Support

  • Deliverables are deemed accepted when you approve in writing or after the stated review period without requested changes.

  • Bug-fix window: 14 days after launch for defects that materially deviate from the SOW (does not include new features, scope changes, or platform/browser changes released after launch).

  • Ongoing maintenance/support is only provided if included in your SOW or a separate plan.

11) Intellectual Property

Client Materials. You retain ownership of your Client Materials; you grant us a non-exclusive license to use them solely to perform the Services.

Agency Tools & Pre-Existing IP. The Liora Labretains ownership of its methodologies, code libraries, components, frameworks, templates, and know-how. We grant you a non-exclusive, non-transferable license to use those items only as embedded in the Deliverables.

Deliverables. Upon full payment, we assign to you the ownership of final, specifically listed Deliverables in the SOW (e.g., exported brand files, site theme as delivered). Working files (e.g., layered design files, source design systems) are not included unless explicitly purchased/licensed.

Fonts/Stock/Plugins. Licenses for fonts, stock, and premium plugins are either (i) acquired by you directly, or (ii) passed through with their original license terms. Some licenses are non-transferable; ongoing fees may apply.

12) Portfolio & Attribution

You grant us permission to display non-confidential work (screenshots, mockups, credits) in our portfolio, case studies, and social channels. We may include a small footer credit link unless your SOW states otherwise.

13) Acceptable Use

Do not use our Services or Deliverables to host or promote unlawful content, malware, hate or harassment, IP infringement, or deceptive practices.

14) No Legal, Tax, or Compliance Advice

We’re not a law firm or CPA. Any templates, policies, or suggestions we provide are informational only.

15) Performance & SEO Disclaimers

We do not guarantee specific rankings, traffic, conversions, ad approvals, or platform decisions. Browser performance may vary; we target current stable versions of major browsers unless your SOW says otherwise.

16) Confidentiality

Each party will keep the other party’s non-public information confidential and use it only to perform under the SOW, except as required by law.

17) Warranties & Disclaimers

Services are provided “as is” and “as available.” We disclaim all implied warranties (merchantability, fitness for a particular purpose, non-infringement).

18) Limitation of Liability

To the maximum extent allowed by law, The Liora Lab will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits/revenue. Our total liability for any claim will not exceed the amount you paid to us for the specific SOW during the 3 months preceding the claim.

19) Indemnification

You will indemnify and hold The Liora Lab harmless from claims arising out of (a) your Client Materials, (b) your misuse of Deliverables, or (c) your violation of laws or third-party rights.

20) DMCA Notice

If you believe content hosted by us infringes your copyright, email [hello@thelioralab.com] with: (i) your signature, (ii) the work claimed infringed, (iii) the infringing URL, (iv) your contact info, (v) a statement of good-faith belief, and (vi) a statement under penalty of perjury that your notice is accurate and you’re authorized to act.

21) Electronic Communications & E-Sign Consent

You consent to receive notices electronically and agree that e-signatures and click-acceptances have the same legal effect as hand-signed documents.

22) Governing Law; Disputes; Arbitration

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
Arbitration. Any dispute will be resolved by binding arbitration in Miami-Dade County, Florida, under the Commercial Rules of the American Arbitration Association (AAA). Either party may seek injunctive relief in court to protect IP or confidential information. Class actions and jury trials are waived. Small-claims court remains available.

Time to bring claims: within 1 year after the claim arises.

23) Termination

Either party may terminate for material breach not cured within 10 days of written notice. Sections that by nature should survive (IP, fees due, confidentiality, limitations, indemnities, dispute resolution) survive termination.

24) Site Access & License

You may not scrape, reverse-engineer, or frame our site; no data mining, bots, or similar tools without our written consent.

25) User Submissions (Reviews/Comments)

If you submit reviews or comments, you grant us a worldwide, royalty-free, perpetual license to use, reproduce, and display that content in connection with our Services. Don’t post unlawful, defamatory, or infringing content.

26) Changes to Terms

We may update these Terms at any time. The “Last updated” date reflects the current version. Continued use after changes means acceptance.
